Clear terms for using Dryvn.

Dryvn is intended primarily for organizational and business use. By purchasing, administering, or using Dryvn, the Customer and its Authorized Users agree to these Terms unless a separately signed agreement controls.

Dryvn is the service operated by AAALABS TECHNOLOGIES LTD, company number 17270081, registered in England and Wales, with its registered office at 20 Wenlock Road, London, England, N1 7GU, United Kingdom.

If you register, purchase, or administer Dryvn for an organization, you must have authority to act for that organization.

Dryvn environments are established for customer organizations. The Customer is responsible for deciding who may access its environment and for keeping account and organizational information accurate enough to administer the service.

• Invite and remove Authorized Users where the relevant controls are available
• Assign access appropriate to each person's responsibilities
• Configure organizational information and service settings
• Manage subscription settings where those controls are available
• Tell Dryvn promptly about suspected unauthorized account use

Dryvn provides software capabilities across people operations, organizational structure, positions and workforce records, Time & Work, organizational change, organizational effectiveness, and insights.

Features available to a Customer depend on the subscribed plan, enabled capabilities, and any applicable Order Form. Public product descriptions form part of Dryvn's product commitment, while plan and Enterprise terms determine the applicable capacity and configuration.

Dryvn offers Standard, Pro, and Enterprise plans. Current public pricing is shown on the Pricing page. The fees, billing cycle, included capacity, and plan limits that apply to a Customer are those presented at purchase or stated in an applicable Order Form.

An Active Worker means an active employee or contractor record that forms part of the Customer's current workforce in Dryvn. Under the current public pricing model, archived and terminated worker records do not count toward active-worker billing.

If use exceeds the subscribed plan's limits, the Customer may need to upgrade, purchase additional capacity, or reduce usage. Dryvn will not invent a different overage charge outside the pricing or commercial terms presented to the Customer.

• Plan limits may apply to workers, administrative roles, change programs, organizational-development usage, integrations, automation, support, Copilot users and credits, and infrastructure options
• Eligible Standard and Pro customers may purchase dedicated infrastructure as an optional upgrade
• Dedicated infrastructure and advanced architecture requirements are available through Enterprise arrangements

The current public Dryvn trial lasts 30 days and does not require a credit card. Trial functionality and capacity are limited compared with a paid subscription. At the end of the trial, continued use may require selection of a paid plan; the no-card trial is not described as an automatic paid conversion.

Dryvn Copilot and API Access are not included in the trial.

Dryvn Copilot means the governed AI-assisted capability within Dryvn. A Named Copilot User is an individual Authorized User whose account an administrator assigns to Copilot. A Copilot Skill is a bounded Dryvn workflow that defines the allowed context, tools, data classes, turns, and actions for a task.

Pro includes five Named Copilot Users. Named access must not be shared, may be reassigned by an administrator, and does not expand the user's underlying Dryvn permissions. Standard does not include Copilot. Enterprise access and limits follow the applicable Order Form.

• Named access follows roles and permissions, not organizational-unit names
• Administrators control assignment and reassignment
• Each task is initiated by an Authorized User
• The model cannot grant access to itself or another user

A Copilot Credit is the unit used to meter task-specific model processing. A Monthly Allowance Period is each monthly period in which included capacity is made available. The Organization Credit Pool is the shared tenant-level allowance used by all Named Copilot Users.

Pro includes 1,000 Copilot Credits per Monthly Allowance Period. Monthly and annual Pro subscriptions receive the allowance monthly; credits reset and do not roll over.

The recurring add-on provides 500 Copilot Credits for $29/month and may be purchased only by an authorized billing administrator. It is billed with the subscription and may be prorated for the remainder of an annual term. Larger or temporary capacity and additional Named Copilot Users are available by request. Credits have no cash value and cannot be transferred between customer tenants.

Usage estimates are informative rather than exact guarantees. Dryvn's usage ledger is the metering record, and Dryvn will investigate credible discrepancies, exclude provider- or Dryvn-caused failed calls, and correct erroneous debits.

Dryvn notifies the organization at 70%, 90%, and 100% of its allowance. New Copilot runs pause at 100%; completed outputs and history remain visible. Dryvn does not impose automatic overage charges. The administrator may add capacity or wait for the next allowance period.

The included allowance, calculation, and commercial treatment remain fixed during an active prepaid annual term. Material changes apply at renewal with advance notice unless otherwise agreed. Technical per-request safeguards may protect service integrity and are not hidden commercial overages.

Copilot Output may be incomplete or inaccurate. Users must review evidence and supporting references. Confidence indicators or evidence links do not replace human review. Copilot is not legal, medical, tax, psychological, accounting, or employment-law advice.

The model can propose. Dryvn decides what is allowed. Customers remain responsible for judgment, evidence, approval, and lawful use.

Subscription fees are those displayed at purchase or stated in an Order Form. Monthly and annual subscriptions are billed according to the selected billing cycle, additional capacity may affect fees, and Enterprise requirements may be individually scoped.

Renewal and cancellation terms are those presented during purchase or stated in the relevant Order Form. These Terms do not create an automatic-renewal rule, cancellation notice period, refund entitlement, or early-termination charge that has not otherwise been agreed.

Applicable taxes, if any, are handled according to the relevant transaction, billing documentation, and applicable law.

Dryvn may change public pricing from time to time. A change does not alter fees already committed for an active fixed subscription term unless the applicable subscription or written agreement permits it.

The Customer determines the organizational purpose for which it uses workforce information and is responsible for ensuring that its collection, use, disclosure, and configuration of that information are lawful and appropriate.

• Have the authority needed to collect and use Customer Data
• Provide notices and obtain permissions or other legal bases where required
• Configure access for appropriate people and responsibilities
• Keep submitted information appropriate for the Customer's use of the service
• Handle workforce-information requests where the Customer is responsible for doing so
• Use exports, reports, and organizational insights with appropriate human judgment

Dryvn provides software and organizational tools. It does not replace the Customer's responsibility to determine and comply with employment, tax, labor, privacy, recordkeeping, or other laws applicable to its organization.

Dryvn's Privacy Notice explains how information is handled when people visit Dryvn, contact us, or use the service. When Dryvn processes workforce information on behalf of a Customer, the Customer remains responsible for determining the organizational purpose and authorized use of that information.

Additional data-processing terms may be available or required for certain customers. Any such terms apply only when agreed between Dryvn and the Customer.

Customers and Authorized Users must use Dryvn lawfully and must not misuse the service, accounts, identities, or infrastructure.

• Do not access another customer's environment without authorization
• Do not probe, exploit, or bypass security controls without permission
• Do not distribute malware or intentionally interfere with service operation
• Do not intentionally overload or materially degrade the service
• Do not impersonate another person or improperly share credentials
• Do not reverse engineer the service where prohibited by applicable law
• Do not upload content the Customer has no right to use
• Do not use Dryvn for unlawful activity

Dryvn may depend on or connect with third-party services needed for cloud infrastructure, managed AI inference, identity, communications, scheduling, billing, security, or customer-selected integrations. Third-party services may be governed by their own terms and privacy practices.

Dryvn uses Google Calendar Appointment Scheduling for demo bookings on the Contact page. The booking experience and related Google Meet arrangements are handled through Google's service.

When configured and initiated by the Customer, Stripe handles payment authentication, transaction processing, billing, and fraud prevention. Stripe payment technology loads only in payment or billing contexts and does not receive Dryvn workforce records for that purpose.

Customers are responsible for authorizing integrations they enable and for the configuration and use of those third-party services. An integration is available only where included in the subscribed plan or otherwise enabled for the Customer.

Dryvn and its licensors retain ownership of the platform software, source code, design, trademarks, documentation, product architecture, and other proprietary technology. Subject to these Terms and the applicable subscription, the Customer receives a limited right for its Authorized Users to use the service during the subscription term.

These Terms do not transfer ownership of Customer Data or customer-created organizational content to Dryvn.

Customer owns Customer Data. Dryvn owns the platform.

If a Customer or Authorized User chooses to provide feedback or product suggestions, Dryvn may use that feedback to improve the service without creating an obligation to compensate the contributor. This does not give Dryvn ownership of the Customer's confidential information or Customer Data.

Each party may receive non-public business, technical, security, or commercial information from the other. The receiving party should use that information only for the business relationship, protect it with reasonable care, and disclose it only to people or service providers who need it for that purpose.

These expectations do not apply to information that is already public through no breach, was lawfully known without restriction, is independently developed, or is lawfully received from another source. A separately signed confidentiality provision controls where it applies.

A feature explicitly identified as beta, preview, early access, or similar may change, be limited, or be discontinued as it is developed. This treatment applies only to the identified feature and does not apply to the paid Dryvn Copilot capability or excuse the rest of the paid service.

Dryvn may improve, modify, add, or retire features as the platform develops. Dryvn will not intentionally use minor feature changes to avoid delivering the essential service a Customer has purchased.

Materially negotiated Enterprise functionality remains subject to the signed agreement or Order Form that describes it.

Dryvn works to maintain a reliable service, but no online service can guarantee uninterrupted availability. Planned maintenance, infrastructure failures, third-party outages, emergency maintenance, and events beyond reasonable control may affect access.

Support scope depends on the subscribed plan. Standard support, priority support and guided onboarding, or negotiated Enterprise service and implementation commitments apply only where included in the plan or written agreement.

Dryvn may suspend some or all access where reasonably necessary to address a serious security risk, unauthorized use, abuse, non-payment where applicable, a legal requirement, a material breach, or a risk to other customers or infrastructure.

Where reasonably practical, Dryvn will seek to address the issue with the Customer before suspension. Immediate action may be necessary where delay would increase a security, legal, or operational risk.

A subscription may end through cancellation under the applicable subscription or Order Form, material breach, legal requirement, or serious security or abuse concerns. A separately signed agreement may give either party additional termination rights.

These Terms do not create a notice period, early-termination fee, or refund right that has not otherwise been presented or agreed.

After the service ends, access to Customer Data may become limited or unavailable. Customers should export information they need before the applicable account and data-retention period ends.

Available export and account-closure options depend on the applicable service and plan. Customers may contact Dryvn regarding data export or closure requirements.

Residual copies may remain temporarily in backups, audit records, or security records according to Dryvn's retention and recovery processes and applicable legal obligations. These Terms do not promise immediate deletion from every recovery copy.

Except where applicable law or a signed agreement provides otherwise, Dryvn is provided on an as-available basis. Dryvn does not promise that every feature will satisfy every Customer's legal or compliance requirements or that online access will never be interrupted.

Dryvn provides software, records, workflows, and organizational information. It does not provide legal, tax, accounting, medical, or employment-law advice. Customers remain responsible for the decisions they make using information presented through the platform.

Software supports organizational decisions. It does not replace the Customer's legal responsibilities or judgment.

Responsibility for loss or damage connected with the service is subject to applicable law and any separately signed agreement between Dryvn and the Customer. Nothing in these Terms excludes or limits responsibility where doing so would not be lawful. Any agreed liability framework must be set out in the applicable signed agreement.

If Dryvn and a Customer enter into a separately signed Master Services Agreement, Order Form, Data Processing Agreement, or other written agreement covering the service, that agreement will control to the extent it conflicts with these Terms.

An Order Form may describe the plan, subscription term, fees, worker capacity, implementation scope, dedicated infrastructure, support, service commitments, or other commercial requirements agreed with the Customer.

Public Terms support self-service SaaS. Signed agreements can support more complex customer relationships.

We may update these Terms as Dryvn, its services, or applicable requirements change. The latest version will be published on this page with an updated revision date. Where appropriate, Dryvn may provide additional notice of material changes.
